Terms of Service

1. Nature of the Platform

Vortech is a software-as-a-service (SaaS) technology platform that provides dispatch, routing, technician notification, and operational visibility tools for independent businesses.

2. No Employment, Agency, or Partnership

Nothing in these Terms creates an employment relationship, independent contractor relationship, agency relationship, partnership, joint venture, or franchise between Vortech and any company, technician, worker, subcontractor, or customer.

Technicians and workers performing services for subscribing companies are not employees, agents, or representatives of Vortech. All service relationships exist solely between the subscribing company and its workers and customers.

3. Independent Business Responsibility

Each subscribing company is solely responsible for:

• Hiring, supervision, and termination decisions
• Worker classification and labor law compliance
• Licensing, permits, and insurance coverage
• Service standards, pricing, and customer contracts
• Tax compliance and regulatory compliance

Vortech does not verify licensing or regulatory status. Users are solely responsible for complying with all applicable laws and regulations.

4. No Payment Processing or Financial Intermediation

Vortech does not process, collect, transmit, hold, or store customer payments. Vortech is not a bank, money transmitter, payment processor, payroll provider, or tax reporting service.

All payments occur directly between the subscribing company, its workers, and its customers. Any operational revenue figures displayed within the Platform are for internal reference only and are not official accounting records.

5. Data Retention — Your Responsibility

Operational revenue summaries and related data displayed in the Platform may reset periodically for system performance and reporting purposes. Vortech does not guarantee long-term storage of financial or operational data.

Users must export and preserve any data required for accounting, tax, legal, or compliance purposes using the CSV export feature before deleting or resetting data.

6. Data Deletion — Permanent & Irrecoverable

The Platform includes a "Wipe Financial Data" feature. Activating this feature permanently deletes all job records and financial data for the company. This action is irreversible. Vortech is not liable for any financial, legal, regulatory, or tax consequences resulting from user-initiated data deletion.

Data preservation is the sole responsibility of the subscribing company.

7. Disclaimer of Warranties

The Platform is provided "as is" and "as available." Vortech makes no warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

Vortech makes no guarantees regarding business results, profitability, revenue, or regulatory compliance. In the event of a technical failure, glitch, or data loss event outside of user-initiated deletion, Vortech does not guarantee data recovery and bears no liability for lost operational or financial data.

8. Disputes Between Companies, Workers, and Customers

All disputes relating to services performed, worker conduct, employment classification, customer complaints, payment disputes, property damage, personal injury, regulatory investigations, or tax matters are strictly between the subscribing company and its workers, subcontractors, or customers.

Vortech shall not be responsible for participating in, resolving, or bearing liability for such disputes.

9. Indemnification

You agree to indemnify, defend, and hold harmless Vortech and its owners, officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, penalties, fines, and expenses (including reasonable attorneys' fees) arising from your business operations, services performed by your workers, worker classification decisions, tax obligations, regulatory violations, customer disputes, injury or property damage, or your breach of these Terms. This obligation survives termination of your account.

10. Limitation of Liability

To the maximum extent permitted by law, Vortech shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages. Vortech shall not be liable for lost profits, lost revenue, business interruption, regulatory penalties, or tax liabilities.

Vortech's total aggregate liability for any claim shall not exceed the total amount paid by the subscribing company to Vortech during the three (3) months preceding the event giving rise to the claim.

11. Intellectual Property

All software, code, design, structure, workflows, and intellectual property comprising the Platform are owned exclusively by Vortech. Users are granted a limited, revocable, non-transferable, non-exclusive license to access and use the Platform during an active subscription. Users may not copy, modify, reverse engineer, distribute, resell, or create derivative works from the Platform.

12. Termination

Vortech may suspend or terminate access to the Platform at its discretion for non-payment, violation of these Terms, or suspected unlawful use. Upon termination, access may be revoked immediately.

13. Arbitration & Class Action Waiver

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration on an individual basis. You waive any right to participate in class actions, collective actions, or representative proceedings.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Vortech is incorporated, without regard to conflict-of-law principles.

15. Entire Agreement

These Terms constitute the entire agreement between you and Vortech regarding use of the Platform and supersede all prior agreements or understandings.
